The shareholder vote that could put a Ripple-backed XRP treasury company on Nasdaq has reportedly passed, and XRP buyers wasted no time — the token clawed back above the 1.50 USD mark within hours of the news.

The result was reported by Bear Champ, an XRPL collaborator who said on X that he listened in on the shareholder meeting of Armada Acquisition Corp. II, the special purpose acquisition company merging with Evernorth. “Listed in on the Armada/Evernorth merger vote, it passed,” he wrote, according to crypto.news. XRP traded around 1.51 USD, up roughly 1.89% on the day, as the report circulated. For everyday investors, the vote matters because it moves a publicly traded XRP vehicle one step closer to reality — and public-market demand for XRP has a way of leaking into the token’s price.
The Hook: A Yes Vote and a Bounce
Sep. 30 was a rollercoaster for XRP. The token climbed toward 1.55 USD early in the session, slid back, spent hours drifting between 1.48 USD and 1.50 USD, briefly touched about 1.54 USD around midday, then dipped below 1.47 USD before the merger-vote report helped lift it back toward 1.51 USD. That is a lot of back-and-forth in a single day — and it shows how tightly traders are watching the Evernorth story.
The vote itself decides whether Armada combines with Evernorth to form a new public company expected to trade on Nasdaq under the ticker XRPN. Only Armada shareholders who held shares on the Aug. 20 record date were eligible to vote, and the deadline for redemption requests — where public shareholders can pull their cash out — passed on Sep. 28, two business days before the meeting.
On-Chain Evidence: A 473 Million XRP Treasury
What would the combined company actually hold? Evernorth’s registration materials describe an expected treasury balance of at least 473,276,430 XRP at closing. That figure combines token purchases and commitments from transaction participants — it is not a plan to dump 473 million XRP on the market, a distinction the company has been careful to spell out.

The Core Conflict: Vote Passed, But the Deal Is Not Done
A shareholder yes-vote is a big hurdle cleared, but it is not the finish line. The transaction still needs to satisfy remaining closing conditions and Nasdaq listing requirements. Redemptions could also shrink the cash Armada brings to the combined company, with final proceeds depending on financing commitments and closing adjustments.
There is fresh money waiting on the other side of closing, too. Evernorth signed a conditional agreement on Sep. 11 to issue 30 million USD in convertible senior notes carrying 4% annual interest and maturing in 2031, with NH Investment & Securities acting as trustee. Interest is paid in kind — added to principal rather than paid in cash — and proceeds could fund XRP purchases and ecosystem activity, at the company’s discretion.
One more thing cautious investors should know: the U.S. Securities and Exchange Commission declared Evernorth’s Form S-4 registration statement effective on Aug. 27, but the company itself has noted that neither the SEC nor any state regulator has approved or rejected the transaction or judged its merits. An effective filing is a green light to proceed — not an endorsement.
Market Implications: A Stock Market Door Into XRP
Evernorth describes itself as a public-market vehicle offering exposure to XRP through treasury operations, with plans to pursue strategies intended to increase XRP per share, including yield strategies and capital-market activity. Think of it as a publicly traded piggy bank full of XRP — similar in spirit to the corporate Bitcoin treasury companies that became stock-market fixtures, except built on XRP.
If the listing completes, investors who would never touch a crypto exchange could buy XRP exposure through an ordinary brokerage account. That convenience cuts both ways: it can bring steady new demand, but treasury companies can also trade at premiums or discounts to the assets they hold, adding a second layer of volatility on top of XRP’s own swings — which included a drop below 1.47 USD earlier the very same day the vote news landed.
The Verdict: Watch the Closing, Not the Headline
For XRP holders, the reported vote is genuinely good news: the path to XRPN is clearer than it has ever been, and the market’s intraday bounce shows traders care. But a reported result from a listener on X is not an official tally, and the deal still has closing and listing conditions to clear. The wise move is to treat this as progress, not completion — and to remember that a 473 million XRP treasury will live and die by the token’s price, not by the novelty of its Nasdaq ticker.
